Terms of Service

Last updated October 14, 2026

These Terms of Service ("Terms") are a legally binding agreement between you and Virtual Horizons, the company that owns and operates AlohaConnect ("AlohaConnect," "we," "us," or "our"). They govern your access to and use of the AlohaConnect mobile applications, websites, AI features and all related services (collectively, the "Services"). Our Privacy Policy, Payments Terms, Cancellation & Refund Policy, Community Standards and Cookie Policy are incorporated into these Terms by reference. By creating an account, booking, listing or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services. IMPORTANT: SECTION 22 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER. UNLESS YOU OPT OUT, IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION AND LIMITS THE REMEDIES AVAILABLE TO YOU.

1. Definitions

"Member" means anyone with an AlohaConnect account. "Guest" means a Member who searches for, books, requests, buys a ticket for, reserves or pays for a Host Service. "Host" means a Member who offers a Host Service, including venue owners, rental owners and property managers, vendors, contractors, activity organizers and restaurants.

"Listing" means a Host's page describing a Host Service. "Host Service" means any venue, vacation or long-term rental, event service, contractor service, activity, ticketed event or restaurant reservation offered through the Services. "Booking" means any confirmed reservation, ticket purchase, service request or payment between a Guest and a Host made through the Services.

"Content" means text, photos, videos, audio, reviews, messages, listings, guest media and other materials posted to or through the Services. "Kai" means AlohaConnect's AI concierge and related AI features.

2. Our role as a marketplace

AlohaConnect provides an online platform that lets Guests and Hosts find each other, communicate and complete transactions. AlohaConnect does not own, operate, manage, control or inspect any Listing or Host Service. We are not a party to the contracts between Guests and Hosts, and we are not a real-estate broker, travel agency, tour operator, insurer, caterer, event planner, contractor or employer.

Hosts are independent third parties and not employees, agents, joint venturers or partners of AlohaConnect. Hosts alone are responsible for their Listings, Host Services, pricing, availability, rules and conduct. When a Booking is confirmed, a direct contract is formed between the Guest and the Host, which includes the Listing details, the applicable cancellation policy, house rules and any other terms the Host discloses.

We may help resolve disputes, verify some information, or approve some Listings, but doing so does not make us responsible for any Host Service or Member. Any verification badge, approval or review score only reflects the information available to us at the time and is not an endorsement, certification or guarantee.

3. Eligibility

You must be at least 18 years old and able to enter into legally binding contracts to create an account, book or list. You may not use the Services if you are barred by applicable law, are on any U.S. government sanctions or denied-party list, or have previously been removed from the Services.

If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that entity, and "you" includes that entity.

4. Accounts and verification

You must provide accurate, current and complete information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately through Support if you suspect unauthorized use.

We may, but are not obligated to, verify identity, run checks against public records or sanctions lists, or ask for documents such as government ID, business licenses, Hawaii General Excise Tax license numbers, insurance certificates or proof of property ownership. You authorize us and our service providers to perform these checks. We do not guarantee the identity, background or reliability of any Member.

5. Searching, booking and ticketing

Search results are ranked using factors such as relevance, location, price, availability, ratings, Listing quality, your history and Host performance. Ranking is not a recommendation or endorsement.

When you request a Booking, you agree to pay all charges shown at checkout, including the Host price, applicable taxes, service fees and any deposits. Some venues and rentals use a request-to-book process: your card may be authorized (held) and charged if the Host accepts within the response window, or charged only the applicable cancellation fee or protection charge if you cancel first. If the Host declines or does not respond, the hold is released.

Activity tickets and wallet passes are issued for a specific date and time and may be scanned or validated at entry. Tickets are personal to the named attendee and may not be resold, duplicated or transferred for profit. AlohaConnect may void tickets obtained fraudulently.

Restaurant reservation requests are sent to the restaurant, which decides whether to confirm. AlohaConnect does not guarantee seating, pricing or menu items.

6. Payments, fees and taxes

All payments made through the Services are processed by Stripe, Inc. on behalf of Virtual Horizons and are governed by our Payments Terms. Virtual Horizons acts as each Host's limited payment-collection agent: when a Guest pays Virtual Horizons, that payment satisfies the Guest's obligation to the Host.

AlohaConnect charges Hosts a platform service fee, currently 7% of the transaction amount plus applicable card-processing costs, which is deducted before payout. We may change our fees on at least 30 days' notice. Fees are non-refundable except as required by law or stated in our Cancellation & Refund Policy.

Prices are listed in U.S. dollars. Hosts are responsible for including or disclosing all mandatory taxes and fees. Guests may also be charged Hawaii General Excise Tax, Transient Accommodations Tax, county Transient Accommodations Tax or other taxes where applicable.

7. Off-platform payments prohibited

To protect Members, all payments for Bookings initiated through AlohaConnect must be made through the Services. Hosts may not request, and Guests may not offer, payment by cash, wire transfer, gift card, cryptocurrency, payment apps or other off-platform methods for those Bookings. Off-platform payments are not covered by our refund processes and may result in account suspension.

8. Cancellations, refunds and changes

For venues and vacation rentals, guest cancellations before the event or check-in starts use a rolling 30-day count across both categories. For new bookings, every guest cancellation has a 3% fee, including the first. Optional cancellation protection, chosen at checkout for an extra 3% of the booking and add-ons, waives that cancellation deduction: the booking amount is refunded, but the protection charge is nonrefundable on guest cancellation. Protection is a fee waiver, not insurance, and does not remove cancellation-count restrictions. Bookings made before this option was introduced retain their original terms. Before a third cancellation, the guest must confirm a warning; proceeding flags the account and blocks new venue and vacation-rental bookings for 12 months. For new bookings with an active authorization, guest cancellation collects only the applicable 3% cancellation fee or protection charge and releases the remaining hold. No charge is collected for an unpaid or already-released authorization. Guest cancellations still count. Host cancellations and admin-approved exceptions do not count. Existing bookings are not automatically cancelled. Contact Support for cancellations after the event or check-in starts or to appeal a restriction. This platform policy takes precedence over the Flexible, Moderate and Strict listing labels for venues and vacation rentals, subject to applicable law. Other services follow our Cancellation & Refund Policy.

If a Host cancels a confirmed Booking, the Guest receives a full refund of amounts paid, and the Host may face penalties including fees, calendar blocks, loss of badges or suspension. Changes to dates, guest counts or services must be agreed by both parties through the Services and may change the price.

9. Host obligations

Accurate listings. Hosts must describe their Host Service fully and honestly, including location, capacity, amenities, accessibility, pricing, fees, rules, safety hazards and any cameras or recording devices (which are never permitted in sleeping areas or bathrooms). Photos must accurately represent the current condition of the property or service.

Legal compliance. Hosts are solely responsible for complying with all federal, state and county laws, including Hawaii and county short-term rental and vacation-rental ordinances (including minimum-stay rules, permit and registration requirements, and display of permit or tax ID numbers in listings and advertisements), zoning, building, fire, health and food-safety codes, liquor licensing, noise ordinances, special-event and beach-use permits, the Americans with Disabilities Act and fair-housing laws.

Taxes. Hosts are solely responsible for registering for, collecting, reporting and remitting all applicable taxes, including Hawaii General Excise Tax (GET), Transient Accommodations Tax (TAT) and county TAT, and income taxes. AlohaConnect may be required to collect taxpayer information and issue Form 1099-K or other tax reports, and may provide information to tax authorities as required by law.

Licensing and insurance. Vendors, contractors and activity organizers must hold all required licenses (including Hawaii contractor licenses where applicable) and maintain adequate liability insurance. AlohaConnect does not provide insurance for Hosts or Guests.

Performance. Hosts must honor confirmed Bookings, provide the Host Service as described, respond to Guests promptly, maintain safe premises and equipment, and not discriminate. Vendor, contractor and some venue Listings require AlohaConnect approval before appearing publicly, and we may remove or decline any Listing at our discretion.

10. Guest obligations

Guests must provide accurate booking information (including the number of attendees and the nature of any event), comply with the Host's rules, occupancy limits, check-in and check-out times and local laws, and treat Hosts, their property and neighbors with respect.

Guests are responsible for the acts and omissions of everyone they invite or bring. Unauthorized parties or events, exceeding occupancy, illegal activity, and damage beyond normal wear and tear are prohibited.

If a Guest, or someone they invited, damages a Host's property, the Guest agrees to pay the reasonable cost of repair or replacement. Hosts must document and submit damage claims through Support within 14 days after checkout or the event date. AlohaConnect may assist in collecting payment, including by charging the payment method on file where permitted by law, after giving the Guest an opportunity to respond.

11. Event features, RSVPs and guest media

Event hosts may invite people, collect RSVPs, meal choices and dietary notes, plan seating and invite co-planners. You are responsible for having permission to share any contact information you enter, and for using guest information only to plan your event.

Attendees may upload photos and videos to event galleries. Uploads may be reviewed and approved by the organizer before appearing publicly. By uploading, you confirm you have the rights to the media and consent from identifiable people in it.

12. Kai AI concierge

Kai uses artificial intelligence to answer questions, recommend Listings, estimate costs and, only at your direction, draft Listings, booking requests and other actions on your behalf. You are responsible for reviewing and confirming any action Kai prepares before relying on or submitting it, and for all actions taken under your account.

AI output may be inaccurate, incomplete, outdated or inappropriate, and may not reflect real-time availability or pricing. Kai does not provide legal, tax, financial, medical, safety or other professional advice. Do not rely on Kai for weather, ocean conditions or emergency information.

You may not use Kai to generate unlawful, infringing, deceptive or harmful content, to attempt to bypass safety controls, or to extract system prompts or other Members' data. We may limit or suspend Kai access for misuse.

13. Subscriptions and in-app purchases

Kai Premium and any other paid subscription automatically renews at the end of each billing period at the then-current price unless you cancel at least 24 hours before renewal. Prices, billing periods and included features are shown before purchase.

Purchases made in the iOS app are billed by Apple, and purchases in the Android app by Google, under their terms. You must cancel or request refunds through your Apple ID or Google Play subscription settings. Purchases made on the web are billed by Stripe on behalf of Virtual Horizons and can be cancelled through Support; access continues until the end of the paid period.

Except where required by law or the app-store provider's policies, subscription fees are non-refundable and we do not provide refunds or credits for partial periods or unused features. We may change subscription prices with advance notice; changes take effect at your next renewal. Free trials, if offered, convert to paid subscriptions unless cancelled before the trial ends.

14. Reviews and ratings

After a Booking, Guests and Hosts may review each other. Reviews must be accurate, based on a real experience, and comply with our Community Standards. You may not offer or accept compensation for reviews, threaten negative reviews, or review yourself or competitors.

We do not verify the accuracy of reviews but may remove reviews that violate our policies, are irrelevant, or are subject to a legal order.

15. Your content and licenses

You retain ownership of your Content. You grant AlohaConnect a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual license to host, store, reproduce, modify (for formatting and display), translate, publish, display and distribute your Content in connection with operating, improving and promoting the Services, including in advertising and on social media. This license continues for Content shared in reviews, galleries or by others after you close your account.

You represent and warrant that you own or have all rights necessary to post your Content, that it does not infringe or violate anyone's rights, and that you have obtained consent from every identifiable person in your photos and videos. You waive any moral rights to the extent permitted by law.

16. Prohibited activities

You agree not to: (a) violate any law or third-party right; (b) post false, misleading, fraudulent, defamatory, obscene or hateful content; (c) discriminate against, harass, threaten or harm anyone; (d) list or book anything illegal, unpermitted or unsafe; (e) circumvent fees or make off-platform payments; (f) create fake or duplicate accounts, reviews or Listings; (g) scrape, crawl, data-mine or copy the Services or their content without written permission; (h) reverse engineer, decompile or interfere with the Services, or introduce malware; (i) access another Member's account or data; (j) use the Services for money laundering, terrorist financing or sanctions evasion; (k) use another Member's information for marketing without consent; or (l) encourage others to do any of these things.

17. Intellectual property and copyright complaints

The Services, including software, design, text, graphics, the AlohaConnect name and logos, are owned by Virtual Horizons or its licensors and protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the apps for personal or internal business use in accordance with these Terms.

If you believe Content infringes your copyright, send a notice through our Support page including: your signature; identification of the copyrighted work; identification and location of the infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act. We will respond in accordance with the Digital Millennium Copyright Act and may terminate repeat infringers.

18. Third-party services and links

The Services may include or link to third-party services, including Stripe, Apple, Google, map and directions providers, AI model providers, wallet-pass providers and Host websites. Your use of them is subject to their own terms and privacy policies, and we are not responsible for their content, availability or practices.

19. Disclaimers and assumption of risk

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, VIRTUAL HORIZONS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY LISTING, HOST, GUEST, REVIEW, AI OUTPUT OR OTHER CONTENT IS ACCURATE, SAFE, LAWFUL OR OF ANY PARTICULAR QUALITY.

You acknowledge that Host Services may carry inherent risks, including risks associated with travel, ocean and beach activities, hiking, volcanic areas, weather, tsunamis, hurricanes, wildlife, alcohol, food allergies and large gatherings. You voluntarily assume those risks and are responsible for evaluating whether a Host Service is appropriate for you and your guests. Consider purchasing travel or event insurance.

20. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER VIRTUAL HORIZONS NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, ANY BOOKING OR HOST SERVICE, OR ANY INTERACTION WITH OTHER MEMBERS OR THIRD PARTIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VIRTUAL HORIZONS (EXCLUDING AMOUNTS PAID TO HOSTS) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

21. Indemnification

You agree to release, defend (at our option), indemnify and hold harmless Virtual Horizons and its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses, fines, penalties, taxes and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your breach of these Terms or our policies; (b) your Listing, Host Service, Booking or Content; (c) your violation of any law or third-party right, including tax and short-term rental laws; (d) your interactions with any Member or guest; or (e) your negligence or willful misconduct.

22. Dispute resolution and arbitration agreement

Informal resolution. Before starting any arbitration or court proceeding, you and we agree to try to resolve the dispute informally. The party raising the dispute must send a written notice describing the claim and the relief sought (through Support for you, or by email to your account address for us). Both parties will negotiate in good faith for at least 60 days.

Agreement to arbitrate. If the dispute is not resolved, you and Virtual Horizons agree that any dispute, claim or controversy arising out of or relating to these Terms, the Services or any Booking (including the validity or scope of this agreement) will be resolved by binding individual arbitration, not in court. The Federal Arbitration Act governs this provision. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitration will take place in Honolulu, Hawaii, or by video or on written submissions if the claim is under $10,000, unless the parties agree otherwise. We will pay AAA filing, administration and arbitrator fees for consumer claims as required by AAA rules, unless the arbitrator finds the claim frivolous.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or to stop misuse of the Services.

Class-action and jury waiver. YOU AND VIRTUAL HORIZONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may award relief only to the individual party and only to the extent necessary for that party's claim. If this class waiver is found unenforceable for a particular claim, that claim must be severed and heard in court, and the rest of this section will still apply.

Mass filings. If 25 or more similar demands are filed by or with the help of the same counsel, they will be administered in batches under AAA's Mass Arbitration Supplementary Rules, and the parties agree to cooperate to resolve them efficiently.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice through our Support page within 30 days after you first accept these Terms, including your name, account email and a clear statement that you opt out. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.

23. Governing law and venue

These Terms and any dispute are governed by the laws of the State of Hawaii and applicable federal law, without regard to conflict-of-law principles. For any matter not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in the City and County of Honolulu, Hawaii. If you are a consumer residing outside the United States, you may also have the benefit of mandatory consumer-protection laws of your country of residence.

24. Suspension, termination and account closure

You may close your account at any time through Support. Closing your account does not cancel confirmed Bookings automatically, and you remain responsible for outstanding amounts.

We may limit, suspend or terminate your account, remove or hide Listings or Content, cancel pending or confirmed Bookings, or withhold payouts if we reasonably believe that you have breached these Terms or our policies, that your conduct creates risk or liability for AlohaConnect, Members or third parties, that you are engaged in fraud, or if required by law or a payment partner. Where appropriate and lawful, we will give notice and an opportunity to appeal through Support.

Sections that by their nature should survive termination, including payment obligations, content licenses, disclaimers, limitation of liability, indemnification, dispute resolution and governing law, will survive.

25. App store terms

If you downloaded our app from the Apple App Store: these Terms are between you and Virtual Horizons only, not Apple. Apple has no obligation to provide maintenance or support. If the app fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any), and Apple has no other warranty obligation. Apple is not responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, consumer-protection or intellectual-property claims. You represent that you are not located in a U.S.-embargoed country or on any U.S. prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you downloaded our app from Google Play, you also agree to the Google Play Terms of Service, which govern your use of Google Play.

26. Electronic communications and notices

You consent to receive communications from us electronically, including by email, push notification, in-app message and SMS where you have opted in. These communications satisfy any legal requirement that communications be in writing. Message and data rates may apply. You may opt out of marketing communications at any time, but we may still send transactional and legal notices.

27. Changes to the Services and these Terms

We may modify, suspend or discontinue any part of the Services at any time. We may update these Terms from time to time. If changes are material, we will notify you by email or in the app at least 30 days before they take effect, except where changes are required by law or relate to new features. If you do not agree, you must stop using the Services and may close your account. Continued use after the effective date means you accept the updated Terms.

28. General provisions

Entire agreement. These Terms and the policies incorporated into them are the entire agreement between you and us about the Services and supersede prior agreements.

Severability and waiver. If any provision is found invalid or unenforceable, it will be enforced to the maximum extent possible and the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them, including in connection with a merger, acquisition or sale of assets.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, hurricanes, tsunamis, volcanic activity, wildfires, pandemics, government orders, power or internet outages, labor disputes or acts of terrorism.

No third-party beneficiaries. Except as stated for Apple, these Terms do not create any third-party beneficiary rights. Headings are for convenience only. The words "including" and "such as" mean "including without limitation."

Contact. Questions about these Terms can be sent through Help & support in the app or our Support page. Virtual Horizons, operator of AlohaConnect, Honolulu, Hawaii.
